Acceptance of Terms

By accessing and using the services provided by Zetivius B.V. ("Company", "we", "us", or "our"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all construction and general contracting services provided by Zetivius.

Zetivius B.V. is a company registered in the Netherlands with registration number 62890753, VAT number NL848317502B01, and registered office at Schoolstraat 277, 1379 LF Almere, Flevoland, Netherlands. We provide professional construction and general contracting services throughout the Netherlands.

Services Description

We provide construction and general contracting services including but not limited to residential construction, commercial construction, renovations, remodelling, project management, and related consultation services. All services are subject to separate written agreements and contracts that will supplement these Terms.

User Obligations

When using our services, you agree to:

• Provide accurate and complete information about your project requirements
• Obtain all necessary permits and approvals as required by local authorities
• Ensure safe and reasonable access to the construction site
• Make timely payments according to agreed terms
• Comply with all applicable laws and regulations
• Not interfere with our work or that of our subcontractors
• Report any concerns or issues promptly

Quotes and Contracts

All quotes provided are estimates based on the information available at the time of preparation. Final pricing may vary based on site conditions, material costs, and scope changes. Formal contracts will be executed for all projects, which will supersede any preliminary quotes or estimates. All work is subject to the terms and conditions set forth in the signed contract.

Payment Terms

Payment terms will be specified in individual contracts. Generally, payments are due according to project milestones or monthly progress payments. Late payments may incur interest charges as permitted by law. We reserve the right to suspend work for non-payment and to place liens on properties for unpaid amounts.

Intellectual Property

All designs, plans, specifications, and other intellectual property created by Zetivius in the course of providing services remain our property unless explicitly transferred in writing. You may use such materials solely for the intended project. We respect the intellectual property rights of others and expect our clients to do the same.

Warranties and Guarantees

We provide warranties on our workmanship as specified in individual contracts, typically for a period of one year from project completion. Material warranties are provided by manufacturers. We will remedy defects in workmanship at no charge during the warranty period. This warranty does not cover normal wear and tear, misuse, or damage caused by third parties.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of use.

Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, labour disputes, material shortages, or other unforeseeable events. In such cases, performance will be excused for the duration of the impediment.

Changes and Modifications

Any changes to the scope of work must be agreed upon in writing and may result in additional charges and time extensions. We reserve the right to modify these Terms at any time. Material changes will be communicated to clients, and continued use of our services constitutes acceptance of the modified Terms.

Termination

Either party may terminate services upon written notice as specified in individual contracts. In case of termination, you shall pay for all work completed and materials ordered up to the termination date. We reserve the right to terminate immediately for non-payment, breach of contract, or unsafe site conditions.

Dispute Resolution

We encourage resolution of disputes through direct communication. If disputes cannot be resolved amicably, they may be submitted to mediation or arbitration as specified in individual contracts. Any disputes shall be resolved in accordance with Dutch law and procedures.

Governing Law

These Terms and any disputes arising from our services shall be governed by and construed in accordance with the laws of the Netherlands. Any legal proceedings shall be subject to the exclusive jurisdiction of the Dutch courts, specifically the courts of Flevoland or Amsterdam, as appropriate.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with any signed contracts and project specifications, constitute the entire agreement between you and Zetivius. No oral agreements or representations shall be binding unless confirmed in writing.
